Terms of Service

Effective Date: August 11, 2026. These Terms govern your use of Workithm, a Creator-first software platform for reviewing, revising and delivering client files through private links.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Workithm. By using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

If you use Workithm for a business or another legal entity, you confirm that you have authority to accept these Terms on its behalf.

2. Who May Use Workithm

You may use Workithm only if you can form a binding agreement under applicable law and can comply with these Terms. Payment and payout features may have additional identity, account, geography and eligibility requirements set by the payment provider.

3. Description of the Service

Workithm is software that helps Creators share previews, collect file-specific feedback, manage revisions and version history, and deliver final files through a private client link.

Creators upload and organize final deliverables and share one private client link. A client does not need a Workithm account and may preview files or linked media, leave feedback attached to a specific file, add timestamps where supported, request revisions and approve the current version. Revision requests and immutable version history remain attached to the delivery. The Creator controls the final delivery workflow.

4. Creator Accounts and Email Verification

A Creator must provide accurate account information and complete email verification where required. You are responsible for safeguarding your credentials and for activity under your account. Notify support promptly if you suspect unauthorized access or another security incident.

5. Private Client Links and Client Access

Clients may use a private client link without creating a Workithm account. The Creator is responsible for sharing the link with the intended recipient, and recipients must not share it unless the Creator permits them to do so. Access remains subject to the link's status, expiry, retention setting and applicable release controls.

6. Creator Responsibilities

The Creator is responsible for the underlying professional service, the files and instructions supplied through Workithm, the accuracy of client contact and invoice details, and communication with the client. The Creator must have the rights and permissions needed to upload and share content, must comply with applicable law, and should keep independent backups of important files.

7. Client Review, Feedback, Revisions and Approvals

Supported feedback is attached to a specific file and may include timestamps. Revision requests, approvals and version history remain attached to the delivery. A client's approval records the current version selected by that client; it is not a guarantee by Workithm about quality, completion or satisfaction. The Creator controls revisions and the final delivery decision.

8. Standard Delivery

Standard makes the approved files available without requiring payment through Workithm. The Creator chooses when to release the files, and access remains subject to the private link's status, expiry and retention setting. Standard is a complete delivery workflow on its own.

9. Secure Vault and Third-Party Payment Processing

Where Secure Vault is available, the final files remain locked until the payment provider confirms a successful payment. Secure Vault is an optional file-release condition. Payment is processed by a third-party payment provider under that provider's terms, and availability depends on provider approval, account eligibility, geography and operational availability.

Workithm is software. It is not a bank, wallet, lender, broker, insurer or fiduciary. Workithm does not guarantee that a payment will be completed, settled or free from refund, reversal, dispute or chargeback, and it does not decide the quality or completion of the Creator's underlying professional service.

10. Fees, Invoices and Taxes

The Creator enters the service invoice. Any applicable amount and Workithm fee are shown in INR before checkout. Taxes may apply where required by law. The payment provider may apply its own terms. Standard does not require a client payment through Workithm.

11. Refunds and Cancellations

A checkout that is closed or abandoned before the payment provider confirms success is not treated by Workithm as a successful payment and does not release files through Secure Vault. If the payment status is uncertain, contact support before trying again.

If you believe a charge is duplicated or technically incorrect, contact workithm-support@ace.me with the available transaction details. Workithm can review records within its control, while the payment provider and relevant financial institutions control payment processing and timing.

A fee charged for Workithm software or a paid Workithm feature is different from a client's payment for a Creator's underlying professional service. Refund or cancellation questions about the Creator's service depend on the Creator-client agreement, the payment provider's terms and applicable law. Workithm does not decide whether the Creator's underlying work was satisfactory or complete.

These Terms do not promise a fixed refund or cancellation window or a processing time. Nothing in this section limits statutory or consumer rights that cannot be excluded under applicable law.

12. Files, Storage, Retention and Creator Backups

A delivery may have a selected retention period. That period describes expected file availability and does not promise immediate deletion at a particular moment. Account, security, payment, acceptance, delivery, legal, dispute and support records may remain longer where reasonably necessary, including in backups or where law requires.

Creators should keep their own copies of important files. Account or deletion requests may be sent to support, but some records may need to be retained for legal, security, payment, dispute or backup purposes.

13. User Content and Intellectual Property

You retain ownership of content you upload or submit. You give Workithm a limited permission to host, process, transmit, display, store and secure that content only as needed to provide the Service. You confirm that you have the rights and permissions needed for the content and that it does not violate another person's rights.

Rights in the Workithm software, design, branding and service materials remain with their respective owners. These Terms do not transfer those rights to you.

14. Acceptable Use and Prohibited Content

You may not use Workithm to commit fraud or another unlawful act; upload illegal, infringing, abusive or unauthorized personal content; transmit malware; harass another person; bypass access controls; scrape data without permission; or interfere with the security, integrity or availability of the Service.

15. Service Availability and Changes

We may maintain, change, limit, suspend or discontinue parts of the Service for security, reliability, legal or operational reasons. We do not promise uninterrupted or error-free availability. Payment features may be unavailable or disabled depending on provider approval, account eligibility, geography and operational availability. Standard remains a complete delivery workflow without payment processing.

16. Suspension and Termination

We may suspend or terminate access where we reasonably believe these Terms have been violated or action is needed to protect the Service, another person, legal rights or security. You may request account closure through support. Suspension or termination does not require immediate deletion of records that may be retained under these Terms, and provisions that should survive will continue to apply.

17. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Workithm disclaims express, implied and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.

Workithm does not guarantee payment, settlement, client satisfaction, dispute prevention, chargeback prevention or freelance-project success. Information in the Service is not legal, tax or financial advice.

18. Limitation of Liability

To the maximum extent permitted by law, Workithm will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, business opportunities, business interruption or replacement costs arising from or related to the Service. Nothing in these Terms excludes or restricts liability or a mandatory consumer right that cannot lawfully be excluded or restricted.

19. Indemnity

To the extent permitted by law, you agree to defend and indemnify Workithm against third-party claims, losses and reasonable costs arising from content you submit, your unlawful use of the Service, your material breach of these Terms or your violation of another person's rights.

20. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to mandatory statutory and consumer rights that cannot be excluded, disputes arising out of or relating to these Terms or the Service will be resolved exclusively in the competent courts located in Bengaluru, Karnataka, India.

21. Changes to the Terms

We may update these Terms from time to time. If a change is material, we will use reasonable efforts to give notice through the Service, by email or by updating the effective date. Changes apply from the stated effective date. Where permitted by law, continued use after that date means you accept the updated Terms; if you do not agree, stop using the Service.
